1. Who this agreement is with

"Shuddhi," "we," or "us" refers to Parshva Tech, a private limited company registered in Gujarat, India, with its principal place of business at 'Sonal', 11 Ramkrishna Nagar, Near Municipal Garden, Rajkot, Gujarat 360002. "You" or "Customer" refers to the jewellery casting unit or individual purchasing or using a Shuddhi license.

2. What Shuddhi is

Shuddhi is desktop software for tracking precious-metal recovery and loss across a jewellery casting unit's production departments. It runs locally on the Customer's own device. Shuddhi does not connect to, integrate with, or replace any billing, GST, or accounting software.

3. License grant

Subject to payment of the applicable subscription fee, we grant you a non-exclusive, non-transferable license to install and use Shuddhi on one device for the duration of your active subscription. This license is for your own internal business use only. You may not resell, sublicense, or distribute Shuddhi to any third party.

4. Subscription term and renewal

Licenses are sold on an annual basis by default, though a different duration may be agreed at purchase (including a free trial period). Your license key is bound to the device it is first activated on. We will contact you before your subscription's renewal date. If it is not renewed, Shuddhi continues to work until its 30-day offline grace period expires, after which it will prompt you to renew before continuing.

5. Fees and payment

Current pricing is ₹50,000 per year. Fees are due in advance and are non-refundable except as described in Section 6, unless required otherwise by applicable Indian consumer protection law.

6. Refunds

We do not offer refunds simply because you've changed your mind after purchase. A license that has been activated and used is not refundable on that basis alone.

That said, if Shuddhi genuinely does not work for you (a technical problem with the software itself that we're unable to resolve within a reasonable time after you contact us for support), we will make it right, up to and including a full refund. Our goal is that you never need to ask for your money back because a real problem went unfixed; contact us first (Section 8) and we'll work through it with you before it comes to that.

7. Data ownership and your responsibility

All data you enter into Shuddhi (job records, weigh-ins, recovery logs) is yours. It is stored only on your own device, encrypted at rest. We have no access to it, cannot retrieve it if lost, and no copy exists anywhere but the backup files you choose to create yourself. You are solely responsible for backing up your data. Loss of your device, or loss of data without a backup, is not something we can recover on your behalf.

We aim to respond within one business day, but do not guarantee a specific resolution time.

9. Warranty disclaimer

Shuddhi is provided "as is." While we've tested it carefully, we do not warrant that it will be error-free or uninterrupted. To the maximum extent permitted by law, we disclaim all warranties, express or implied.

10. Limitation of liability

To the maximum extent permitted by applicable law, our total liability to you for any claim arising from your use of Shuddhi is limited to the fees you paid for your current subscription term. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data.

11. Termination

We may suspend or terminate your license if you breach these terms (including unauthorized redistribution of your license key) or fail to pay renewal fees. You may stop using Shuddhi at any time; fees already paid are governed by Section 6.

12. Governing law

These terms are governed by the laws of India, with courts in Rajkot, Gujarat having exclusive jurisdiction.

13. Changes to these terms

We may update these terms from time to time. Material changes will be communicated by email or WhatsApp before taking effect.
